摘要：私募基金在我國的出現(xiàn)符合居民財(cái)富增長的宏觀經(jīng)濟(jì)背景，符合居民財(cái)富尋找增殖途徑的要求。這種市場化特征很強(qiáng)的基金品種，在我國已經(jīng)走了一條自下而上的發(fā)展道路，這與公募基金的發(fā)展道路是有區(qū)別的。所以，涉及到對待目前市場上這些變相的“私募基金”的態(tài)度上，我們應(yīng)該遵循尊重現(xiàn)實(shí)，尊重歷史的態(tài)度，使其能夠規(guī)范化，減少對市場的震蕩與沖擊。

本論文主要是闡述我國私募基金現(xiàn)階段的運(yùn)作狀況及其合法化的研究，分別從五個(gè)部分來分析。第一部分，通過與公募基金的對比來分析私募基金的特點(diǎn)及運(yùn)作優(yōu)勢，從而顯示私募基金的重要地位；第二部分，從私募基金在我國發(fā)展歷程的角度來分析其產(chǎn)生的客觀背景，從而說明私募基金是市場自發(fā)創(chuàng)新的產(chǎn)物；第三部分，從我國證券市場的發(fā)展趨勢及私募基金的特點(diǎn)和優(yōu)勢，來分析我國發(fā)展私募基金的必要性與可行性；第四部分，從私募基金的利益保障和違規(guī)操作，來分析我國私募基金需要合法化；第五部分，從金融監(jiān)管的角度來分析我國私募基金要如何合法化。

Abstract:Theemergenceofprivateenlistingfundinourcountryisnotonlyinaccordancewiththemacroeconomicsbackgroundofinhabitants’increasingfortune,butalsosatisfyingthoseinhabitantswholookforthewayofreproducingtheirfortune.Thiskindoffundwithstrongmarketfeatureshasgonethroughafrom-bottom-to-topway,whichdiffersfromthepublicenlistingfund.Hence,whenwedealwithsomeso-called“privateenlistingfund”incurrentmarket,weshouldtakeanattitudeofdeferringtorealismandhistory,tonormalizethosesothattheshocktothemarketcanbereduced.

Thisarticleelaboratesontheresearchofoperatingsituationandnormalizationofprivatefundincurrentmarket.Inthefirstsection,Iwilldisclosetheimportanceofprivateenlistingfundbyanalyzingthecharacteristicsandoperatingadvantageincomparisonwithpublicenlistingfund.Inthesecondsection,Iwillexplainthebackgroundunderwhichprivateenlistingfundemerged,attheangleofthedevelopmenthistory.Andit’stheresultofspontaneousinnovationofthemarket.Inthethirdsection,Iwilldiscussthenecessityandfeasibilityofdevelopingprivateenlistingfundinourcountrybyanalyzingthetendencyofsecuritymarketandthecharacteristicsandadvantageofprivateenlistingfund.Inthefourthsection,Iwillpresentwhyprivateenlistingfundneedtobelegalizedbyanalyzingguaranteeofinterestandviolationofoperation.Inthefifthsection,Iwillillustratehowtolegalizetheprivateenlistingfundattheangleoffinancialsupervision.
